Effective Date: 22/10/24

This Confidentiality Agreement (“Agreement”) is made and entered into as of the Effective Date by and between AusGarage Pty Ltd (“AusGarage,” “we,” “us,” or “our”) and our clients (“Client,” “you,” or “your”).

1. Confidential Information

As part of our services, AusGarage may receive or have access to confidential information belonging to the Client, including but not limited to:

• Business strategies

• Customer databases and customer data

• Sales performance data

• Marketing campaign data (including budgets and timelines)

• Competitor analysis and market positioning

• Product development plans

• Customer insights and survey data

• Financial data (including budget allocations and ROI)

2. Confidentiality Obligations

AusGarage agrees to:

Maintain confidentiality: We will protect the confidentiality of the information provided by the Client and will not disclose it to any third party without prior written consent.

Restricted access: Only team members directly involved in the Client’s project will have access to the Client’s confidential information.

Use of information: Confidential information will be used solely for the purposes of fulfilling our obligations under our agreement with the Client.

Non-disclosure: AusGarage will not disclose the Client’s confidential information to any third party unless required by law or with the Client’s prior written consent.

3. Exceptions to Confidentiality

Confidentiality obligations do not apply to information that:

• Is publicly available or becomes publicly available without breach of this Agreement.

• Is already in AusGarage’s possession without breach of this Agreement.

• Is independently developed by AusGarage without reliance on the Client’s confidential information.

• Is disclosed pursuant to legal requirements.

4. Data Breach Protocol

In the event of a data breach involving the Client’s confidential information:

Immediate notification: AusGarage will notify the Client within 24 hours of becoming aware of the breach.

Mitigation efforts: Immediate actions will be taken to minimize further data loss, including an internal investigation and third-party support if required.

Reporting: A full report will be provided to the Client, outlining when the breach occurred, actions taken, and how the breach will be prevented in the future.

Client debrief: A follow-up meeting will be arranged with the Client to discuss the breach and action plan.

5. Return or Destruction of Confidential Information

Upon termination of services or at the Client’s request, AusGarage will return or destroy all confidential information, including any copies, unless required to retain it by law.

6. Non-Disclosure by Clients

The Client agrees not to disclose any confidential information or proprietary methods, strategies, or technologies used by AusGarage during or after the term of the agreement, except as required by law.

7. Duration of Obligations

The obligations under this Agreement will continue for a period of five (5) years following the termination of services or until the confidential information becomes publicly available through no breach by AusGarage.
